Consent to Receive a Virtual Consultation

The Client, hereinafter referred to as the “Patient”, hereby expresses their desire and gives consent to receive a medical consultation provided in a virtual format by highly qualified specialist physicians, hereinafter referred to as “Consultants.”

The organization and provision of the platform for conducting the virtual consultation is carried out by the Israeli company EMS WW Ltd. (registration number: 715121748, legal address: 46 Yasmin Street, Beit Dagan, Israel, telephone: +972 3 9600487).

The Patient understands that online consultations conducted within the framework of the “Virtual Clinic” are based on the medical information provided by the Patient and are performed without a physical examination by the Consultant.

Virtual consultations are of a recommendatory nature only and require that their results be provided to the Patient’s treating physician of the relevant specialty at the Patient’s place of residence (including country of residency) for further adjustment of examinations, prevention, treatment, and rehabilitation.

Consultations may be organized either as virtual ONLINE consultations or in an OFFLINE format, based on the documents provided by the Patient.

Responsibility for the medical content of the virtual consultation and the medical recommendations rests solely with the Consultant.

EMS WW Ltd. is responsible exclusively for the organizational aspects of providing virtual consultations. EMS WW Ltd. may conduct audio and/or video recordings of parts of virtual consultations for the purpose of objective assessment of the medical information, explanations, and recommendations provided by the Consultant, taking into account the medical information submitted by the Patient. The decision to provide such recordings for review lies solely with EMS WW Ltd.

1. Procedure for Application and Patient Obligations

1.1. To ensure the highest quality consultation, the Patient must:

  • Register on the EMS WW Ltd. website: emsww.co.il

  • Review and consent to the terms and conditions for providing a virtual consultation, including this agreement.

  • Sign consent allowing EMS WW Ltd. and its Consultants access to the medical information provided.

  • Submit relevant medical materials (in Russian or English) for the planned consultation, including medical reports from treating physicians and discharge summaries (epicrisis), specifying confirmed or suspected diagnoses to date, results of prior examinations, their dynamics, etc.

 

If the Patient does not have such medical documentation, they may provide a written detailed medical history describing symptoms and concerns, results of examinations conducted, and current treatment. The Patient must also complete the questionnaire provided by the organizing company.

Submission of data by the Patient constitutes unconditional consent to the use of their medical information (including, if necessary, transfer to third parties for the purpose of providing services of the highest quality), in accordance with this agreement.

1.2. Book an introductory consultation with a physician from EMS WW Ltd.

1.3. In the event of a positive decision regarding the possibility of conducting a virtual consultation, complete payment for the consultation.

1.4. After payment, the Patient will receive an email containing a link to the scheduled ONLINE virtual consultation in ZOOM format (or another virtual communication system). The same link will be sent to the Consultant.

1.5. Following the consultation, the Patient will receive a brief medical summary by email describing the results and recommendations. This summary must be provided to the Patient’s treating physician of the relevant specialty at the place of residence (including country of residency) for further adjustment of examinations, prevention, treatment, and rehabilitation.

2. Rights and Obligations of EMS WW Ltd.

2.1. Provide the Patient and Consultant with a platform for conducting the virtual consultation.

2.2. Conduct an introductory consultation by an EMS WW Ltd. physician, aimed at:

  • Collecting medical history;

  • Determining the feasibility of a virtual consultation in each specific case;

  • Developing, in coordination with the Patient, a plan for further medical evaluation (which may include additional examinations to obtain missing data for a more complete consultation);

  • Where virtual consultation is possible, recommending an appropriate specialist Consultant and facilitating optimal scheduling;

  • Providing the Consultant with preliminary access to Patient information for optimal preparation.

2.3. Provide maximum assistance to the Patient and Consultant in organizing the virtual consultation, including:

  • Scheduling a specific date and time for the ONLINE consultation;

  • Transferring required documents and, if necessary, arranging translation services (for an additional fee);

  • Providing oral interpretation during the ONLINE consultation;

  • Assisting in selecting an appropriate specialist in accordance with Israeli medical standards, if required.

2.4. Facilitate timely completion of scheduled consultations.

2.5. Maintain medical confidentiality and data privacy.

2.6. In certain cases, EMS WW Ltd. reserves the right to refuse to organize a consultation without providing additional explanations.

2.7. EMS WW Ltd. bears no responsibility for technical problems and/or communication failures occurring during the organization and/or conduct of the virtual consultation.

3. Payment Terms

3.1. The cost of a standard virtual consultation is published on emsww.co.il. The cost of non-standard consultations is determined individually.

3.2. Payment must be made no later than 72 hours before the scheduled consultation. Otherwise, the consultation will be canceled.

3.3. If the Patient cancels a consultation after payment but at least 24 hours before its start, written notice must be provided to EMS WW Ltd. In this case, 80% of the consultation fee will be refunded. Cancellations made less than 24 hours before the consultation may not be refunded.

3.4. Payment receipts will be sent to the Patient by email. Upon request, they may also be sent by regular mail or other agreed means.

3.5. Payment for subscription plans involving a series of consultations and chronic patient monitoring within the Virtual Clinic must be made in full in advance.

3.6. Payment for consultations conducted by Consultants invited on an exclusive basis at the Patient’s request must be made in full in advance.

4. Payment Methods

4.1. Payments may be made by credit card with international payment capability or by another mutually agreed method.

4.2. Payment may be made via PayPal.

4.3. The Patient may also pay by direct bank transfer to the Organizer’s account.

  • Payments are made in US dollars. Bank details of EMS WW Ltd. are provided in Appendix No. 3 to this Agreement.

  • The date of payment is the date funds are credited to the EMS WW Ltd. bank account.

  • All bank fees and currency conversion costs are borne by the Patient.

 

5. Confidentiality

5.1. All information obtained by EMS WW Ltd. and the Patient during the conclusion and execution of this Agreement, including the fact of seeking medical assistance, health condition, diagnosis, and other medical data, constitutes medical confidentiality and may not be disclosed or transferred to third parties without the Patient’s written consent. Consent may also be provided in another form agreed upon in advance by the parties.

5.2. Clause 5.1 does not apply where information became publicly known independently of contractual relations with EMS WW Ltd., despite reasonable confidentiality measures, or was disclosed by the Patient or their representatives.

5.3. This clause also does not apply in cases of judicial proceedings related to virtual consultation services, where disclosure is required for legal resolution.

 

6. Force Majeure

6.1. In the event of force majeure circumstances—including natural disasters, epidemics or pandemics, fires, riots, strikes, revolutions, military actions, unlawful acts of third parties, or legislative acts prohibiting the activities described herein—the parties are released from liability for non-performance or improper performance of obligations. If such circumstances persist for more than three (3) calendar months, either party may terminate the Agreement unilaterally, with appropriate settlements made.

6.2. The affected party must notify the other party in writing within 10 business days of the occurrence. Failure to notify deprives the party of the right to invoke force majeure.

6.3. Proof of such circumstances may be provided by certificates from chambers of commerce or other competent authorities; generally known facts do not require confirmation.

 

7. Dispute Resolution

7.1. All disputes arising under this Agreement shall be resolved primarily through negotiations, with maximum effort toward amicable settlement.

7.2. Matters not regulated by this Agreement shall be governed by the laws of the State of Israel and its judicial system.
